1. Acceptance of Terms

These Terms of Service ("Terms") constitute a binding legal agreement between you and Tenju Solutions Inc. ("Company," "we," or "us"). By accessing, registering for, or using the "That's What Xi Said" service (the "Service"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must strictly cease use of the Service immediately.

2. AI Services & Disclaimers

You understand that the Service uses experimental artificial intelligence technology. You agree that:

• Entertainment & Information Only: The Service is intended for entertainment, educational, and informational purposes. It is NOT a professional advisor (legal, medical, financial, or strategic).
• Accuracy Warning: AI outputs ("Generations") may be factually incorrect, offensive, or biased. We make no representations or warranties regarding the accuracy, reliability, or completeness of any Generation.
• No Reliance: You should not rely on Generations for any decision-making. You act on any information provided by the Service at your sole risk.

3. User Conduct

You agree not to:

• Use the Service for any illegal purpose or in violation of any local, state, national, or international law.
• Input sensitive personal information (e.g., PHI, PII, financial data) into the Service.
• Reverse engineer, decompile, crawl, scrape, or attempt to discover the source code or underlying models of the Service.
• Interfere with or damage the Service, including through viruses, cancel bots, Trojan horses, harmful code, flood pings, denial-of-service attacks, packet or IP spoofing, forged routing or electronic mail address information or similar methods or technology.

4. Payment Terms

• Subscriptions: Fees for paid tiers are billed in advance on a recurring basis. You authorize us (via Stripe) to charge your payment method.
• Cancellation: You may cancel at any time. Your access continues until the end of the current billing period.
• No Refunds: All payments are non-refundable and non-transferable, except as expressly provided in these Terms or required by applicable law.
• Price Changes: We reserve the right to change our pricing upon 30 days' notice.

5. Intellectual Property

Our IP: The Service, including its interface, code, proprietary implementation of AI models, and branding, is the property of Tenju Solutions Inc. and protected by copyright/trademark laws.

Your IP: As between you and us, you own the Inputs you provide. To the extent permitted by law, we assign to you all right, title, and interest in the Generations produced by your Inputs, subject to a non-exclusive license for us to use them to improve the Service.

6. Indemnification

You agree to defend, indemnify, and hold harmless Tenju Solutions Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party right, including intellectual property rights.

7. Limitation of Liability & Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TENJU SOLUTIONS INC. SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Dispute Resolution: Arbitration & Class Waiver

Mandatory Arbitration: Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA).

Class Action Waiver: YOU AND TENJU SOLUTIONS INC. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

9. Termination

We reserve the right to suspend or terminate your access to the Service at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

10. DMCA / Copyright Policy

We respect IP rights. If you believe your copyright has been infringed, please send a notice meeting the requirements of the Digital Millennium Copyright Act to legal@tenju.ai.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles.
